The Associate General Counsel, Honeywell Homes, for the EMEA region will support the Honeywell Homes Business Unit for the purpose of assuring that Honeywell Home’s business and financial objectives are achieved.

Honeywell Homes is a Business Unit currently within Honeywell’s Home and Building Technologies division, but it is intended to spin off the Honeywell Homes Business Unit and separately list it on the New York Stock Exchange.Honeywell Homes designs, manufactures and sells connected thermostats, connected water leak detectors, and connected security and video systems, as well as water heaters and boiler combustion systems for the residential market.Honeywell Homes also includes the ADI global distribution business for security and low voltage products.Its aggregate worldwide turnover is in excess of $4.5 billion.

The role is to assist the Honeywell Homes Legal Team in EMEA in all legal matters affecting the Homes Business Unit, including contractual matters, disputes, corporate acquisitions and sales and putting strong compliance process in place.

This position is responsible for drafting and maintaining standard contracts, negotiating, drafting and amending contracts at all company locations in the region, resolving legal and commercial contract related problems and disputes that affect the broad spectrum of regional operations and assisting in the establishment of overall policies (and the enforcement thereof) as they relate to contracts and other legally binding business arrangements involving the development, sale and procurement of Honeywell Homes’ products and/or services. Decisions rendered can have a major impact on regional objectives and profitability.

The position is responsible for ensuring that all parts of the Homes Business are aware of and comply with Honeywell policies when conducting their business and entering into contractual arrangements and for ensuring that appropriate approvals are obtained for contracts in accordance with Honeywell’s Schedule of Executive Approvals.

Responsibilities :

•Draft, implement and maintain up-to-date standard contracts for use in each location for all standard business transactions.

•Review proposed business contracts and identify risk areas to business management with recommendations as to risk containment.

•Coordinate with other Honeywell functions to obtain input on commercial and legal issues relative to their areas of expertise, and consolidate and incorporate issues of concern into risk containment recommendations.

•Draft appropriate language specifically addressing risk areas for inclusion in bid documentation and contracts.

•Review and approve proposed contracts submitted by product line, sales and purchasing teams.

•Participate as a key member of the negotiating team in contract discussions with customers and suppliers.

•Participate with the business team in analysing business risks and proposing solutions to manage those risks.

•Resolve contractual issues during negotiations, and together with outside counsel manage legal disputes.

• Recognize, acknowledge and respect local customs and practices of customers and suppliers; must have or work to obtain knowledge of local law of customer’s country.

• Promote compliance with all Honeywell Homes policies, including those relating to the GDPR, approval of Sales Agents, Competition Law, Export Control and the Schedule of Executive Approvals.

• Assist in all corporate acquisitions, mergers, de-mergers and sales.

YOU MUST HAVE
  • Law Degree, preferably with a focus on Business Law
  • Fluent in German or French and English, preferably with one or more regional foreign languages.
  • Extensive knowledge in contract administration/management functions
  • Knowledge of basic contracts laws, European Union directives and local laws

  • Professional in demeanour, able to work well with and influence others, be a decision-maker and capable of performing under pressure
  • Ability to analyse and critically comment on proposed contract language, and in general must be able to express self clearly in both written and verbal communication
  • Excellent interpersonal skills with the ability to autonomously work well in a fluid/fast-paced, highly collaborative, multi-national, team environment
  • Strong experience in negotiating all forms of contract and managing disputes in the best interests of the company.
  • Strong problem-solving skills with the ability to quickly assess potential for risk and opportunity
  • Strong work ethic and customer service orientation and ability to prioritize conflicting demands from multiple business clients
  • Managerial courage in supporting company policy and sound decision making when dealing with business units and customers
  • Ability to dispense direct and actionable feedback to business clients at all levels tactfully
  • Ability to manage external counsel where it is necessary to rely on their advice, particularly on foreign language contracts
  • Some travel both in country, regionally and transatlantic
  • Ideally previous experience of working for a US multinational company in EMEA or at a multinational law firm
